Welcome to Scalient ("Scalient", "we", "us", or "our"). By accessing or using our website, services, or any related content (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Services.
1. About Scalient
Scalient is a marketing, growth, and systems consultancy providing strategic, advisory, creative, technical, and operational services to businesses globally.
All information on this website is provided for general informational purposes only and does not constitute legal, financial, investment, or professional advice unless expressly stated in a written agreement.
2. Eligibility & Authority
By using the Services, you represent and warrant that: You are at least 18 years of age - You have the legal authority to bind yourself or the entity you represent - You will comply with all applicable local, national, and international laws and regulations.
3. Acceptable Use
You agree not to: Use the Services for unlawful, deceptive, misleading, or fraudulent purposes - Attempt to gain unauthorized access to systems, servers, or data - Copy, resell, scrape, reverse-engineer, or exploit any content, frameworks, or materials without written permission - Introduce malware, automated scripts, or any technology that disrupts or interferes with the Services.
Scalient reserves the right to restrict, suspend, or terminate access at its sole discretion.
4. Intellectual Property
All website content, materials, frameworks, methodologies, trademarks, logos, and branding are the intellectual property of Scalient or its licensors.
No rights are granted except for limited, non-commercial viewing purposes unless expressly authorized in writing.
5. Services, Scope & No Guarantees
All paid Services are governed exclusively by a separate written agreement, proposal, or statement of work ("SOW").
Scalient provides strategic, advisory, creative, and technical services. No guarantees are made regarding business outcomes, revenue, leads, conversions, rankings, performance metrics, or financial results unless explicitly stated in a signed agreement.
Client acknowledges that results depend on multiple external factors beyond Scalient's control, including client inputs, market conditions, and third-party platforms.
In the event of any conflict between these Terms and a signed agreement, the signed agreement shall prevail.
6. Fees, Payments & Refunds
Unless otherwise agreed in writing: All fees are billed in advance and are exclusive of applicable taxes, duties, or levies - Fees are non-refundable once work has commenced - Late or non-payment may result in suspension or termination of Services - Scalient is not responsible for delays or non-performance caused by client-side dependencies, approvals, or incomplete information.
Any refund or exception must be documented in a written agreement.
7. Third-Party Tools, Platforms & Dependencies
The Services may rely on or integrate with third-party software, platforms, tools, or services.
Scalient is not responsible or liable for: Outages, downtime, policy changes, pricing changes, or discontinuation of third-party services - Account suspensions, bans, compliance actions, or data loss caused by third-party platforms - Performance or security failures of third-party tools.
Use of third-party services is at your own risk and subject to their respective terms and policies.
8. Confidentiality
Each party agrees to maintain the confidentiality of any non-public, proprietary, or confidential information disclosed during an engagement.
Confidential obligations survive termination of the Services and do not apply to information that is publicly available, independently developed, or lawfully obtained.
9. Limitation of Liability
To the maximum extent permitted by law: Scalient shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business opportunities - Scalient makes no warranties, express or implied, regarding the Services - Scalient's total aggregate liability shall not exceed the fees paid to Scalient in the six (6) months immediately preceding the event giving rise to the claim.
All Services are provided on an "as is" and "as available" basis.
10. Indemnification
You agree to indemnify and hold harmless Scalient from any claims, damages, losses, liabilities, or expenses arising from: Your misuse of the Services - Your breach of these Terms - Your violation of applicable laws or third-party rights.
11. Suspension & Termination
Scalient may suspend or terminate access to the Services immediately if: These Terms are violated - Unlawful, harmful, or high-risk conduct is detected - Continued engagement poses legal, reputational, or operational risk.
Termination does not affect accrued payment obligations, intellectual property rights, confidentiality, or limitation of liability provisions.
12. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Canada, without regard to conflict of law principles.
Where applicable for operational or enforcement purposes, and for services performed from India or involving Indian entities, the laws of India may apply on a non-exclusive basis.
Courts located in Canada shall have primary jurisdiction. Courts located in India shall have secondary, non-exclusive jurisdiction where applicable.
13. Changes to These Terms
Scalient may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
